Corporate Recovery & Special Situations

Winch & Co is an activist investment and turnaround group specialising in businesses, property and projects experiencing financial, operational or stakeholder distress. We step into complex situations to stabilise the position, protect underlying value and establish a practical route to recovery, restructuring or exit.

Is your fundamentally viable business, property or project becoming financially or operationally distressed?

Facing lender pressure, refinancing difficulties, creditor action, cash-flow problems, operational breakdown or a stalled project?

The earlier we become involved, the more options are usually available.

“Distress does not necessarily mean the underlying business or asset has failed.

Often the problem is the capital structure, cash flow, operational model or stakeholder environment.

Our role is to identify where the value remains, stabilise the situation and build a commercially viable route forward.”

Nathan Winch, Managing Director

Hands-on turnaround intervention

We stabilise difficult situations and build a route to recovery

Winch & Co becomes involved where a business, asset or project still has underlying value but the surrounding financial, operational or stakeholder structure has become difficult to manage.

We take a hands-on commercial approach, working alongside owners, lenders, shareholders, professional advisers and other stakeholders to understand the problem quickly and determine the most viable route forward.

We typically become involved where there is:

  • Lender, bridging or refinancing pressure
  • HMRC, creditor or supplier arrears
  • Cash-flow or working-capital stress
  • Personal guarantee exposure
  • Distressed or underperforming property assets
  • Stalled developments or projects
  • Operational underperformance or management breakdown
  • Shareholder or stakeholder conflict
  • Imminent enforcement, receivership or insolvency risk
  • A viable underlying business or asset, but no clear route forward

Financial restructuring is often only one part of the solution.

Depending on the circumstances, Winch & Co can support a turnaround through operational restructuring, lender and creditor negotiations, refinancing strategy, management intervention, asset realisation, business disposal, investment, acquisition, joint venture or other structured transactions.

Where specialist legal, tax or insolvency advice is required, we work alongside the appropriate professional advisers.

His experience spans distressed acquisitions, operational turnarounds, property-backed restructuring, creditor and lender negotiations, refinancing, administrations, receiverships, CVAs and complex stakeholder situations.

Commercial Director

Debra Hart
MIoD

Debra leads commercial restructuring and operational improvement across Winch & Co’s turnaround mandates. Her experience spans financial management, negotiation, budgeting, business planning, supply-chain optimisation and operational change, with particular focus on restoring commercial control and improving business performance.

Finance Manager

Julie Tabone

Julie supports financial control, cash-flow visibility, management information, creditor reconciliation and restructuring implementation across complex turnaround situations.

Speed matters in distressed situations. Value can deteriorate quickly once liquidity tightens, lenders lose confidence or operational problems begin affecting customers, employees and suppliers.

Our first priority is therefore to establish the true position: cash, liabilities, assets, operational performance, stakeholder exposure and the immediate threats to value. From there we develop a structured recovery plan and determine which interventions are commercially realistic.

How we work

Every special situation is different.

Winch & Co may act under a turnaround or restructuring mandate, invest directly, acquire equity or assets, participate in a joint venture, structure outcome-linked consideration, or use a combination of these approaches.

We first assess the underlying business or asset, the financial position, the stakeholders involved and the available recovery options before proposing an appropriate structure.

Our experience includes:

£14m+ finance discharged and restructured

Multiple businesses recovered from insolvency risk

Experience across receiverships, administrations, CVAs and liquidations

Hands-on operational turnaround across property-backed and trading businesses

Proven in complex situations

“Since our company was acquired and restructured by Winch & Co, we have seen many positive improvements and investments in the site and the team.“
